License Agreement

 
This License Agreement ("Agreement") is entered into by and between Zhare.ai ("Licensor") and You ("Licensee") for the use of Zhare.ai ("Software").

 
1. INTRODUCTION

 
1.1 This Agreement sets forth the terms and conditions under which Licensee may use the Software.
1.2 By using the Software, Licensee acknowledges that they have read, understood, and agree to be bound by this Agreement.

 
2. DEFINITIONS

 
2.1 "Software" means the Zhare.ai and all its websites, apps and components, including but not limited to, the user interface, graphics, and functionality.
2.2 "Licensor" means Zhare.ai, the owner and developer of the Software.
2.3 "Licensee" means You, the individual or entity using the Software.

 
3. LICENSE GRANT

 
3.1 Licensor grants to Licensee a non-exclusive, non-transferable license to use the Software for personal, non-commercial purposes.
3.2 Licensee is not permitted to:
* Use the Software for commercial purposes without prior written consent from Licensor.
* Modify, adapt, or translate the Software.
* Reverse engineer, decompile, or disassemble the Software.
* Distribute, sublicense, or transfer the Software to any third party.

 
4. INTELLECTUAL PROPERTY RIGHTS

 
4.1 Licensor retains all intellectual property rights in and to the Software, including but not limited to, copyrights, trademarks, and trade secrets.
4.2 Licensee acknowledges that they have no rights in and to the Software, except as expressly granted in this Agreement.

 
5. USE RESTRICTIONS

 
5.1 Licensee shall not:
* Use the Software for any unlawful or unauthorized purpose.
* Interfere with or disrupt the operation of the Software.
* Use the Software in a manner that infringes on the rights of others.

 
6. DISCLAIMER AND LIMITATION OF LIABILITY

 
6.1 The Software is provided "as is" and "as available," without warranties of any kind.
6.2 Licensor disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6.3 In no event shall Licensor be liable for any damages, including but not limited to, incidental, consequential, or punitive damages, arising out of or related to the use of the Software.

 
7. TERM AND TERMINATION

 
7.1 This Agreement shall commence on the date of first use and shall continue until terminated.
7.2 Either party may terminate this Agreement at any time, without notice.
7.3 Upon termination, Licensee shall cease using the Software and destroy all copies.

 
8. GOVERNING LAW

 
8.1 This Agreement shall be governed by and construed in accordance with the laws of Victorian Government of Australia.
8.2 Any disputes arising out of or related to this Agreement shall be resolved through Victorian Government of Australia.

 
9. ENTIRE AGREEMENT

 
9.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings.
9.2 This Agreement may not be amended or modified except in writing signed by both parties.

ACKNOWLEDGMENT

 
By using the Software, Licensee acknowledges that they have read, understood, and agreed to be bound by this Agreement.
